This book critically explores how increased regulation and governance of corporations can be used to help improve the rights of workers amidst an era of union decline. The book posits that soft law techniques such as codes of conduct are more effective in protecting workers than "hard law" i.e. domestic regulation. It starts by analysing the transnational regulation of corporations and codes of conduct, and then puts forward a model code of conduct that can be used by corporations to help increase the protection of workers. Through this model's use of a monitoring scheme, shareholders, activists, and NGOs put pressure on the corporation to reform itself and enact a code which has obligations flowing both ways between the corporation and its employees. The book then looks at the expansions of fiduciary duties and changes to corporate governance, including Benefit Corporations and how they can be used to increase the rights of workers. It then discusses changes to standard union contracts before concluding with an assessment of the best way forward for workers’ rights. By providing a new contribution to the current dialogue on corporate social responsibility and codes of conduct, this book will be a valuable resource for academics working on labour, employment, and business law as well as corporate lawyers.

#1 New York Times bestselling author Brad Thor presents his greatest thriller ever—an action-packed tour de force that “feels like the TV show 24 on the page” (Associated Press). Hidden deep within one of the world’s most powerful organizations is a secret committee with a devastating agenda. Its members are afforded incredible protections—considered elites, untouchables. But when four seconds of video is captured halfway around the world and anonymously transmitted to DC, covert wheels are set in motion, and counterterrorism operative Scot Harvath is tapped to undertake the deadliest assignment of his career. What begins as a favor will evolve into a globe-spanning drama of highly personal stakes played out against a backdrop of stunning international intrigue, duplicitous political gamesmanship, and the darkest, most clandestine fears of the espionage world. With razor-sharp plotting, richly rendered characters, and heart-stopping surprises on every page, Thor isn’t just at the top of his game—he owns the entire genre.

The original edition of this directory of professional codes of conduct in the United Kingdom was the first reference book to give information on more than a handful of codes. For the second edition the work has been greatly extended and revised, thereby reflecting both the ever-increasing number of codes and the ongoing interest in them. The main part of the book lists alphabetically nearly 500 UK organizations with codes in use, an increase of some 30 per cent on the previous edition. Each entry gives the name, address, telephone and fax numbers of an organization and either reproduces its code verbatim (to make a total of about 200) or summarizes the content. Approximately 80 per cent of the codes or summaries have undergone changes since first publication. The comprehensive introduction looks at the development, scope and purpose of codes, recent trends and codes in an international context amongst other points, while the extensive index provides an easy and useful approach by topic.

Despite ongoing efforts to maintain ethical standards, highly publicized episodes of corporate misconduct occur with disturbing frequency. Firms produce defective products, release toxic substances into the environment, or permit dangerous conditions to existin their workplaces. The propensity for irresponsible acts is not confined to rogue companies, but crops up in even the most respectable firms. Codes of Conduct is the first comprehensive attempt to understand these problems by applying the principles of modern behavioral science to the study of organizational behavior. Codes of Conduct probes the psychological and social processes through which companies and their managers respond to a wide array of ethical dilemmas, from risk and safety management to the treatment of employees. The contributors employ a wide range of case studies to illustrate the effects of social influence and group persuasion, organizational authority and communication, fragmented responsibility, and the process of rationalization. John Darley investigates how unethical acts are unintentionally assembled within organizations as a result of cascading pressures and social processes. Essays by Roderick Kramer and David Messick and by George Loewenstein focus on irrational decision making among managers. Willem Wagenaar examines how worker safety is endangered by management decisions that focus too narrowly on cost cutting and short time horizons. Essays by Baruch Fischhoff and by Robyn Dawes review the role of the expert in assessing environmental risk. Robert Bies reviews evidence that employees are more willing to provide personal information and to accept affirmative action programs if they are consulted on the intended procedures and goals. Stephanie Goodwin and Susan Fiske discuss how employees can be educated to base office judgments on personal qualities rather than on generalizations of gender, race, and ethnicity. Codes of Conduct makes an important scientific contribution to the understanding of decisionmaking and social processes in business, and offers clear insights into the design of effective policies to improve ethical conduct.
